BEING AN ORDINANCE AUTHORIZING THE SALEM AREA CORPORATION TO ACT AS AN AGENT FOR THE CITY OF SALEM, OHIO FOR THE CONVEYANCE OF CERTAIN INTERESTS IN REAL PROPERTY TO NICK J. COOL, AND DECLARING AN EMERGENCY.

WHEREAS, pursuant to Section 1724.10, Revised Code of Ohio, the Salem Area Corporation (hereinafter called "the corporation"), a corporation not for profit organized pursuant to the provisions of Chapter 1724, Revised Code of Ohio, has been designated by the City of Salem, (hereinafter called "the City"), as its agency for the industrial, commercial, distribution and research development of said City, and

WHEREAS, the Council has considered the question of the need of the City for those lands and interests in land owned by it and involved in a proposed conveyance to NICK J. COOL for development and other factors, and as a result of such consideration desires to authorize the Corporation, acting on behalf of and as agent for the city, to convey certain interests in lands described herein and otherwise hereinafter sometimes referred to as "the Premises", on the terms and conditions provided herein.

NOW THEREFORE, BE IT ORDAINED BY THE COUNCIL OF THE CITY OF SALEM, STATE OF OHIO:

SECTION 1:

The Council of the City of Salem, Ohio hereby finds and determines that the use of the premises which will best promote the welfare of the people of the City of Salem, stabilize the economy, provide employment and assist in the development of industrial, commercial, distribution and research activities to the benefit of the people of the City and provide opportunities for their gainful employment is for industrial purposes.

SECTION 2:

It is hereby determined that the lands and interests in land referred to herein as "the Premises" are owned by the City of Salem for its purposes.

SECTION 3:

It is hereby determined that the conveyance of fee simple title to the premises described in this section to NICK J. COOL will promote the welfare of the people of the City of Salem, stabilize the economy, provide employment, and assist in the development of industrial, commercial, distribution and research development to the benefit of the people of the City of Salem and will provide additional opportunities for their gainful employment, "The Premises" being defined as following:

Situated in the Southwest Quarter of Section 26, City of Salem, Township of Perry, County of Columbiana, State of Ohio, and known as being Lot No. 40 in the Salem Industrial Park Plat #2 as recorded in Plat Book 17 Page 30-31 of the Columbiana County Records of Plats

SECTION 4:

The City approves, confirms and continues the designation of Salem Area Corporation as the agency for the City for its industrial, commercial, distribution and research development in order to carry out the policy of the City of Salem to promote the health, safety, morals and general welfare of the inhabitants of the city through the designation of a community improvement corporation as the agency of the City, and in furtherance of such designation and policy and the aforementioned objectives, the City authorizes and directs the Corporation, on behalf of and as agent of the City, to take such actions as are necessary to convey the premises described in Section 3 of this Ordinance to NICK J. COOL in exchange for $7500.00 per acre in cash. The date of transfer will be the date the deed is filed for record.

SECTION 5:

The purchaser shall pay all such costs as may be incurred in connection with the transactions authorized by this Ordinance, including, but not limited to, such costs as deed preparation, recording of any deed or other instrument, transfer fee, all real estate taxes, legal expenses, title search expenses, survey expense and publication of this ordinance.

SECTION 6:

That the consideration for the conveyance, to wit: $7500.00 per acre, shall be deposited in the City Treasury for further appropriations by City Council, the total price being $8,386.50.

SECTION 7:

That as further consideration and as a condition of the sale of real estate, that if the Grantee does not develop the land and build an industrial building on each of the lots of the property within one (1) year after the date of the deed, then the property or lot shall revert to the City of Salem and the City shall refund the original purchase price less the sum of $750.00 per acre.

SECTION 8:

The ordinance is hereby declared to be an emergency measure necessary for the immediate preservation of the public peace, health and safety and welfare of the City and for the further reason that it is necessary to create jobs and employment opportunities and to improve the economic welfare of the people of the City of Salem and it desires to take advantage of the opportunity now offered to it to make a conveyance of the premises and grant certain additional interests in real property as will accomplish such purposes, wherefore this ordinance shall be in full force and effect from and immediately after its passage and approval by the Mayor if it shall receive the requisite vote of Council, otherwise it shall take effect and be in force from and after the earliest period allowed by law.
