BEING AN ORDINANCE AUTHORIZING THE SALEM CITY PARKS DIRECTOR TO ENTER INTO A CONTRACT FOR THE SALE OF AN APPROXIMATE 5.15 ACRE PARCEL OF LAND LOCATED AT THE WATERWORTH MEMORIAL PARK IN THE CITY OF SALEM, AND DECLARING AN EMERGENCY.

NOW THEREFORE, BE IT ORDAINED BY THE COUNCIL OF THE CITY OF SALEM, STATE OF OHIO:

SECTION 1:

That the Salem Parks Director be, and hereby is authorized to enter into a contract for the sale of an approximate 5.15 acre parcel of land at the Waterworth Memorial Park in the City of Salem. A diagram of the approximate 5.15 acres is attached hereto as Exhibit A.

SECTION 2:

The Purchase Agreement and/or Contract for Sale and/or Transfer Deed shall include, but not be limited to, the following:

(1) Purchaser must be a not for profit corporation duly and validly incorporated by the State of Ohio in perpetuity.

(2) Proposed use of acreage must be for a community center that includes a fitness center, gymnasium, indoor jogging track, indoor pool and spa, locker rooms, community rooms, child babysitting space for children of parents engaged in activities at the community center and a kitchenette.

(3) Community center facility must be a minimum of fifty thousand square foot structure with an average cost of $120.00 per square foot.

(4) A Letter of Guarantee must be furnished from a Federally Insured bank legally committing a minimum of $8,000,000.00 for the construction of the Salem Community Center facility including the property acquisition, demolition, site improvements, architectural and engineering expenses, furnishings and equipment costs.

(5) The minimum sale price shall be $100,000.00 to be used by the City through the Salem Parks Commission for replacement of the fair market value of the 5.15 acres sold, which is presently set at approximately $100,000.00.

(6) Construction time must commence within three (3) years from the date of the sale of the property or the property shall revert back to the City of Salem.

SECTION 3:

This Council finds and determines that all formal actions of this Council concerning and relating to the adoption of this Ordinance were adopted in an open meeting of this Council and that all deliberations of this Council and any of its committees that resulted in those formal actions were in meetings open to the public in compliance with the law.

SECTION 4:

That this Ordinance is hereby to be an emergency measure necessary for the immediate preservation of the public peace, health and safety in the City of Salem, and shall go into immediate effect for the reason that it is necessary to effectuate immediate commencement of the project.
